THE SHORT VERSION
Use the site properly, don't rip us off, and we'll do the same for you. If you're a consumer in New Zealand, the Consumer Guarantees Act gives you rights that nothing on this page can take away. Where anything below seems to conflict with those rights, your rights win.
1. WHO YOU'RE DEALING WITH
This website — scendent.co.nz — is operated by Scendent Limited, a company registered in New Zealand (NZBN 9429050458431), registered office 9 Pacific Park Way, Papamoa Beach, Bay of Plenty 3118.
"We", "us" and "our" mean Scendent Limited. "You" means you, whether you're browsing, buying, contributing, booking, or applying.
By using the Site you agree to these Terms. If you don't agree, don't use the Site.
2. WHAT WE ACTUALLY DO
Through this Site we:
- Sell merchandise, most of which is printed to order by a third-party partner
- Sell seats at workshops, events and training programmes
- Take inquiries for corporate and organisational bookings
- Accept voluntary financial contributions toward our programmes
- Publish the Directory of Help, a free listing of wellbeing resources
- Run programmes including advocate training and a scholarship programme
Different parts of the Site have their own additional terms. Where they apply, they sit alongside these Terms:

3. WE ARE NOT A REGISTERED CHARITY
We want to be straight with you about this.
Scendent Limited is a New Zealand limited liability company. It is not registered with Charities Services under the Charities Act 2005, and it is not an approved donee organisation under the Income Tax Act 2007.
What that means in practice:
- Financial contributions you make to us are not tax-deductible and do not qualify for the 33.33% donation tax credit
- We cannot issue IRD donation receipts
- We do run scholarship, wellbeing and youth programmes, and contributions do fund them — but you should give on the basis of what we do, not on the basis of a tax benefit

4. YOUR AGE
You must be 16 or over to create an account, place an order, or subscribe to our newsletter.
If you're under 18, you may only place an order with the involvement and consent of a parent or guardian, who accepts responsibility for the transaction.
Under-18s attending workshops or programmes need written parental or guardian consent. See the Workshop, Event & Training Terms.
The Directory of Help is free and open to everyone at any age, with no account required.
5. YOUR CONSUMER RIGHTS COME FIRST
If you're a consumer in New Zealand, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 give you guarantees we cannot contract out of. Goods must be of acceptable quality, fit for purpose, match their description, and services must be carried out with reasonable care and skill.
Nothing in these Terms limits, excludes or modifies those rights. Any part of these Terms that would have that effect is, to that extent, of no effect.
If you're acquiring goods or services for the purposes of a business, and you agree they're supplied for business purposes, sections 43(2) and 43(2A) of the Consumer Guarantees Act mean the Act does not apply. This applies to corporate workshop bookings and bulk merchandise orders.
If you're outside New Zealand, your local consumer law may give you additional rights. We'll honour whatever your local law requires.
6. ORDERS
Placing an order is an offer to buy, not a completed contract. The contract forms when we send you an order confirmation email.
We may decline or cancel an order — with a full refund — where:
- The item is out of stock or our print partner cannot produce it
- There's been a pricing or description error
- We can't verify payment or the order looks fraudulent
- The order breaches these Terms
- We can't lawfully ship to your address
Pricing. All prices are in New Zealand Dollars (NZD) and include GST where applicable. Prices exclude shipping unless we say otherwise. We can change prices at any time, but never after you've placed an order.
Errors. We try hard to get prices and descriptions right. Where an obvious error has occurred, we'll contact you before processing and give you the choice of proceeding at the correct price or cancelling for a full refund.
Product images. Colours vary between screens, and print-to-order items have small natural variations in placement and shade. That variation is normal and is not a defect. We'll always describe products as accurately as we can — that's a Fair Trading Act obligation we take seriously.
International orders. You are the importer. Customs duties, taxes and clearance fees at the destination are your responsibility. See the Shipping & Fulfilment Policy.
7. THE DIRECTORY OF HELP
The Directory of Help is a free public listing of wellbeing services. It matters enough to have its own notice — read the Directory of Help — Important Notice in full.
The essentials:
- Scendent is not a crisis service, a counselling service, or a health provider.
- If you or someone else is in immediate danger, call 111. To talk to someone right now, call or text 1737 — free, 24/7.
- Listings are information, not endorsement, referral or recommendation
- We don't verify the clinical quality, qualifications, availability or current status of listed services
- What happens between you and a listed service is between you and them
8. INTELLECTUAL PROPERTY
Everything on the Site — the Scendent name and logo, the neon-and-black visual identity, the SCENDENT acronym, the S-Code, our brand vocabulary (including Scender, Descendent, Scendient, Big D Energy, Bubbles), photography, video, copy, code and design — is owned by Scendent Limited or used under licence. It's protected by the Copyright Act 1994, the Trade Marks Act 2002, and equivalent laws overseas.
You may: view, download and print pages for your own personal, non-commercial use; share our public social content in the normal way that platform allows.
You may not: reproduce, adapt, distribute, sell or commercially exploit any of it without our written permission; use our name, logo or brand language as your own or in a way that suggests we endorse you; scrape, spider or systematically extract Site content, including the Directory of Help; remove or obscure any copyright or trade mark notice.
Directory of Help data. The Directory is compiled by us and the compilation is protected. You're welcome to use it as an individual looking for help. You may not extract it wholesale to build a competing directory or a commercial mailing list.
Your content. If you send us feedback, ideas, testimonials, photos or other material, you keep ownership, and you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and adapt it in connection with our work. You confirm it's yours to give and that it doesn't infringe anyone else's rights. We're under no obligation to keep unsolicited submissions confidential, to pay for them, or to respond.
9. HOW YOU MUST NOT USE THE SITE
Detail is in our Community Guidelines. In summary, don't use the Site: for anything unlawful; to harass, abuse, threaten, defame or discriminate against anyone; to impersonate anyone including us; to transmit malware; to scrape, spider or harvest data; to interfere with the Site's security or operation; to collect other people's personal information; or to send spam.
We may suspend or terminate your access for breach, without notice.
10. THE SITE IS PROVIDED AS-IS
We work to keep the Site accurate, available and secure, but we don't promise it will be uninterrupted, error-free, or free of harmful components. We may change, suspend or withdraw any part of it at any time.
Information on the Site — including wellbeing content and the Directory of Help — is general information only. It is not professional, medical, psychological, legal or financial advice, and you should not rely on it as a substitute for advice from a qualified professional who knows your situation.
To the maximum extent permitted by law, and without limiting your Consumer Guarantees Act rights, the Site and its content are provided without warranties of any kind, express or implied.
11. LIMITATION OF LIABILITY
This clause does not apply to, and does not limit, your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 if you are a consumer in New Zealand. It also does not limit our liability for death or personal injury caused by our negligence, or for fraud.
Subject to that:
- We are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, savings or data, however caused
- We are not liable for any loss arising from your use of, or reliance on, the Directory of Help or any service listed in it
- We are not liable for the acts, omissions, advice or conduct of any third-party service, provider or website
- Where we are liable, our total aggregate liability is limited to the amount you paid us for the relevant product or service in the 12 months before the claim arose, or NZ$100, whichever is greater
12. INDEMNITY
You agree to indemnify Scendent Limited, its directors, officers, employees, contractors, facilitators and volunteers against any claim, loss, damage, cost or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
This does not apply to the extent the claim arises from our own negligence or breach.
13. THIRD-PARTY SERVICES AND LINKS
The Site relies on third-party services including Shopify, Shopify Payments, Printful, Google and social platforms. Their terms and privacy policies apply to their part of the service, and we recommend you read them.
Links to other sites are provided for convenience. We don't control them, don't endorse them, and aren't responsible for their content or practices.
14. IF SOMETHING GOES WRONG
Talk to us first — most things get sorted quickly. Email scendentofficial@gmail.com with the detail and your order or booking number. We aim to acknowledge within 5 working days.
If we can't resolve it between us, both parties agree to attempt mediation in good faith through the Arbitrators' and Mediators' Institute of New Zealand before starting court proceedings. This doesn't stop either of us seeking urgent injunctive relief, and it doesn't stop you taking a claim to the Disputes Tribunal or making a complaint to the Commerce Commission.
15. GENERAL
Governing law. These Terms are governed by New Zealand law. Both parties submit to the non-exclusive jurisdiction of the New Zealand courts. If you're a consumer in another country, you keep the benefit of any mandatory protections your local law gives you.
Changes. We may update these Terms. The "Last updated" date shows the current version. Material changes will be notified on the Site before they take effect. Changes don't apply retrospectively to orders already placed.
Severability. If any provision is held invalid or unenforceable, it's severed and the rest continues in force.
No waiver. If we don't enforce a right, that's not a waiver of it.
Assignment. You may not assign your rights under these Terms. We may assign ours on notice to you, for example if the business is restructured or sold.
Force majeure. Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disaster, pandemic, war, industrial action, or failure of communications or transport networks.
Entire agreement. These Terms and the policies referenced in clause 2 are the whole agreement between us regarding your use of the Site.
